Terms and conditions

These terms and conditions apply to your use of Spark's Domain Name registration service (Domain Name Service).  In addition, your use of the Domain Name Service is subject to Spark's Standard Terms for Business Customers.

If there is any inconsistency between the Standard Terms for Business Customers and these terms and conditions, these terms and conditions will prevail to the extent of that inconsistency.

Registration periods and renewals

Different minimum registration periods apply to the Domain Name Service depending on which Domain Name you choose.  The term of your registration will commence once we have accepted your submitted Domain Name application form and the registry administrator puts into effect your Domain Name registration.

The charges for the Domain Name Service are available for viewing at Domain Name Charge.  We may change these at any time.

We will bill the applicable Domain Name Charge to your next monthly Spark bill.  
Your requested Domain Name will not be registered until the registry administrator puts into effect your Domain Name registration and we have confirmed the registration in an email to the email address for the bill paying authority indicated by you when you registered on the Spark Business Hub  We may elect to accept or reject your Domain Name application for any reason.  You agree that neither Spark or any Domain Name registrar will be liable for any loss or damage that may result from such rejection.

We will give you 30 days notice of when the registration period of your Domain Name(s) will expire and, unless you tell us otherwise, we will bill the applicable Domain Name Charge for renewing the Domain Name(s) to your next monthly Spark account.  Your Domain Name(s) will be renewed for the minimum registration period applicable to your Domain Name at the time of renewal.

If you do not pay our charges for the registration or renewal of your Domain Name(s), we may cancel the registration of your Domain Name(s) and you will not be able to use that Domain Name for the remainder of the minimum registration period.

Provision of Domain Name Service

We will always do our best to provide the Domain Name Service in a reliable and high-quality manner.  However, we do not guarantee that the Domain Name Service will always operate uninterrupted or error-free.  Domain Names are available on an 'as available basis' and we do not guarantee the availability of any name.  We do not make any representation or guarantee as to the suitability or legality of use of this service outside New Zealand.

Provision of information

In order to provide you with the Domain Name Service, we require you to provide us with certain information such as your full name, postal address, email address, telephone number and fax number, if available (Personal Information).  You agree to update your Personal Information promptly as needed to keep it current, complete and accurate, and to add such additional information as we may reasonably require from time to time.

You may access your Personal Information and/or Domain Name registration information to review, modify or update such information through the information management tools we provide on the Customer's Domain Control Panel.

If you:

- wilfully provide us with inaccurate or unreliable information; or

- fail to promptly update information you have provided; or

- fail to respond for more than 15 calendar days to inquiries concerning the accuracy of contact details associated with any registration, this will constitute a material breach entitling us to cancel your registration of any Domain Name(s).

Use of Personal Information

You agree and acknowledge that we and our accredited Domain Name registrar may share your Personal Information with each other, other service providers, with the Internet Corporation for Assigned Names and Numbers (ICANN), with registry administrator(s), and with other third parties as ICANN and applicable laws and/or policies may require or permit. You also agree and acknowledge that we and/or our accredited Domain Name registrar are permitted (and in some cases may be required) to make your Personal Information publicly available, or directly available to third party vendors, for purposes of inspection (such as through WHOIS service), targeted marketing or other purposes as required or permitted by ICANN and applicable laws and/or policies.

We will take reasonable precautions to protect information we obtain from you from loss, misuse, unauthorised access or disclosure or alteration or destruction.

Spark Business Mailboxes

As part of your Domain Name Service, you can purchase Spark Business Mail Mailboxes. Business Mail Product Terms apply to these email mailboxes.

You can only use your Spark Business Mail email mailbox(es) as part of your Domain Name Service. On termination, cancellation or suspension of your Domain Name Service, you must cease using all Spark Business Mail email addresses.

Your use of the Domain Name Service

You must not use, and you must take all reasonable precautions to ensure that no one uses,  your Domain Name Service:

- fraudulently or in connection with a criminal offence;

- to send, knowingly receive, upload, download or use anything which is offensive, abusive, indecent, defamatory, obscene or menacing, or in breach of copyright, confidence, privacy or any other rights;

- to cause annoyance, inconvenience or needless anxiety;

- to spam or to send or provide unsolicited advertising or promotional material or knowingly to receive responses to any spam, unsolicited advertising or promotional material sent or provided by any third party; and in an unlawful manner, in contravention of any legislation, laws, license or third party rights or in contravention of any Acceptable Use Policy we may have in place from time to time.

By having a registered Domain Name you may be able to create your own website(s).  If you do this you are responsible for the material that you or anyone else puts on your website(s).   Material on your website(s) must not, and the use of it must not, in any way be unlawful.

Your other responsibilities

- To access the Domain Name Service you must have a suitable PC and internet connection. Any fees associated with your internet connection are your responsibility.

- You are responsible for the data and information accessed, transmitted, processed and/or received via the Domain Name Service.

- You agree to keep us protected against any legal action taken against us in connection with your use of the Domain Name Service.

- By using the Domain Name Service you agree to be bound by the terms, policies and orders (if applicable) of any regulatory authority or industry body that regulates the registration and use of the top level Domain Name(s) you have chosen (for example in New Zealand everyone acquiring or holding a '.nz' Domain Name is required to comply with the .nz policies of the Domain Name Commission)

- You represent and warrant to us that neither the registration of your Domain Name(s) nor the manner in which your Domain Name(s) is directly or indirectly used or any other information you provide to us in relation to the Domain Name Service shall infringe any intellectual property or other legal rights of any third party.

Our responsibilities

We will:

- Arrange for correction of any error in the information in the register for your Domain Name to you when requested.  Where you have supplied incorrect information to us and we incur costs in correcting any error in a register then we may recover the costs incurred by us from you.

- Provide to you, the unique authentication ID for your Domain Name(s) (if applicable) when requested and at no charge.

Intellectual property and information

You acknowledge that when a Domain Name is registered in your name you have a right to use that name for the registration period of that Domain Name (subject to all fees being paid) but you have no ownership rights in the Domain Name.
 
You agree that when a Domain Name is registered to you, or in your name as directed by you:

the following information will become publicly available:

- Your name;

- Your contact details; and

- The Domain Name, its registration commencement and expiry and addresses/details of the name servers for it, and our name.

- the Domain Name is registered in your name only because no other person has it according to the records of the register;

- neither we nor anybody else is representing anything else to anybody regarding that Domain Name.  The entry of a Domain Name in the "WHOIS" database is not evidence of anything other than registration.

Termination and cancellation

We may terminate your Domain Name Service by giving you one month's notice.  We may immediately terminate  your Domain Name Service with you if you cease to have an account with Spark.

We reserve the right to suspend, cancel, transfer or modify any Domain Name registration immediately:

- in the event you breach any provision of these terms and conditions;

- as required or permitted by any terms, policies or orders of any regulatory authority or industry body that regulates the registration and use of the top level Domain Name(s) you have chosen including any ICANN or registry policy or procedure;

- to correct any errors by any Domain Name registrar or the registry administrator;

- in order to resolve disputes concerning the Domain Name;

- in response to an order from a court of competent jurisdiction, or arbitration award; or in the event our arrangements with our service provider(s) end for any reason and we are unable, or it is no longer viable for us, to continue to provide the services.

You have the right to transfer your Domain Name registration to a different registrar at any time (except for a sixty (60) day period from when your Domain Name is first registered. For .nz domains a five (5) day period applies). Transfer of a Domain Name registration to another registrar will be subject to the applicable registry's transfer policies and our usual service request charge(s) will apply.

.mobi domains

You agree to have a site uploaded within 72 hours or the .mobi registrar may cancel the registration.

You agree to the terms in the .mobi Switch On Policy.

Dispute regarding Domain Name

If you have any complaint about your Domain Name or anyone else complains about your use of your Domain Name you must notify us immediately.  You must provide us with reasonable assistance in the resolution of such complaint (at your cost) and comply with all our reasonable directions.

Change of ownership

If you wish to transfer any Domain Name to another person or entity, you can do so by calling customer support on 0800 BUSINESS (28 74 63) and our usual service request charge(s) will apply.  You agree that as a condition of a transfer of ownership, the entity to which the Domain Name is transferred will agree to be bound by these terms and conditions, including payment of any applicable fees.

Export laws

Individuals, organizations, and businesses located in countries subject to United States embargoes as well as any person, listed on the U.S. Treasury Department's list of Specially Designated Nationals, or listed on U.S. Commerce Department's Table of Denial Order or Entities List may not purchase the Domain Name Service from us.  By submitting your application to us, you acknowledge that you are not such a person, organization or business.

Changes to these terms and conditions

We may change these terms and conditions at any time by giving you one month's notice.

If you wish to transfer any Domain Name to another person or entity, you can do so by calling customer support on 0800 BUSINESS (28 74 63) and our usual service request charge(s) will apply.  You agree that as a condition of a transfer of ownership, the entity to which the Domain Name is transferred will agree to be bound by these terms and conditions, including payment of any applicable fees.

Export laws

Individuals, organizations, and businesses located in countries subject to United States embargoes as well as any person, listed on the U.S. Treasury Department's list of Specially Designated Nationals, or listed on U.S. Commerce Department's Table of Denial Order or Entities List may not purchase the Domain Name Service from us.  By submitting your application to us, you acknowledge that you are not such a person, organization or business.

Changes to these terms and conditions

We may change these terms and conditions at any time by giving you one month's notice.
