1.     Introduction

(a) These terms and conditions, along with your Fridge Monitoring Starter Kit form (“Form”), our IoT Bridge Terms, and our Business Terms make up the agreement for the Fridge Monitoring Starter Kit service (“Service”). In buying this service, you understand and agree to these terms. They also apply to any use of the Fridge Monitoring Starter Kit products and services by your staff or anyone else you have authorised. If anyone in your business will be using these products and services, please ensure they have also read and understood these terms. If you purchase the Service on interest free, Spark’s Business Interest Free Terms will also apply. In submitting the form and making payment for the Service, you agree to these terms and conditions.

(b) If there’s a conflict between the terms in the documents, the following order of precedence will apply:

1. Fridge Monitoring Starter Kit form;
2. These terms and conditions (including the Interest Free Terms, if applicable);
3. IoT Bridge Terms; and
4. Business Terms.

2.     Definitions 

In these terms and conditions:

Form means the Spark form you will fill out, including your business details, sites and contact details.

Fridge Monitoring Starter Kit means the kit consisting of the items set out in clause 3(b).

Business Interest Free Terms means Spark’s interest free terms as set out in our Business General Terms. View Business General Terms and Conditions

IoT Bridge means the Spark IoT online platform (website) where you can monitor and manage your sensors.

IoT Bridge Terms means Spark’s IoT Bridge terms. View IoT Bridge Terms

3.     Service Overview

(a) The Fridge Monitoring Starter Kit provides you with the ability to monitor the temperature of your fridges and freezes by installing sensors into your fridges and freezers. In addition to the ability to view current and historical temperature readings, you'll be sent a SMS or email alert to a selected device and/or email address when the fridge or freezer’s actual temperature goes beyond predetermined temperature parameters.

(b) The Fridge Monitoring Starter Kit consists of:

1. 2 fridge temperature sensors; 2 fridge temperature sensors;
2. 1 freezer temperature sensor; and
3. 36 month subscriptions to IoT Bridge monitoring service for each of the three temperature sensors

(c) At the expiry of the 36 month term, you may elect to continue the Service as outlined in clause 5(b).

4.     How do I set the Fridge Monitoring Starter Kit up?

The Fridge Monitoring Starter Kit is available to purchase between 2 October 2023 and 30 November 2023 or while stocks last (whichever occurs first), from the Spark Business Hubs offering the Service. Please check with your local Spark Business Hub to confirm.

5.     Fees and invoicing arrangements

(a) The initial fee for your Fridge Monitoring Starter Kit must be paid in advance before the Service commences.

(b) If you choose to terminate the Fridge Monitoring Starter Kit before the expiry of the 36 month IoT data plan and IoT Bridge subscription, any portion of the initial fee pertaining to the unused IoT data plan and IoT Bridge subscription is not refundable.

(c) Subject to availability, you may purchase multiple Fridge Monitoring Starter Kits, depending on the number of fridges and freezes you wish to monitor.

(d) After the expiry of your 36 month IoT data plan and IoT Bridge subscriptions, if you choose to continue the Service in accordance with clause 3(c) above, you'll need to pay a $10 monthly fee that includes the IoT data plan and IoT Bridge subscriptions for the devices included in your Starter Kit. We'll advise you of the fee closer to the date and you'll have the opportunity to notify us if you do not want to continue the Service. You may then terminate your IoT data plans and IoT Bridge subscriptions at any time on one month’s written notice to iotsupport@spark.co.nz or by calling us on 0800 436 4847 Mon to Friday 8am to 5.30pm (excluding Public Holidays).

(e) If you wish to separately purchase fridge and freezer sensors from Spark (that is, not as part of the Fridge Monitoring Starter Kit), they will be subject to Spark’s standard fees for the devices, IoT data plans and IoT Bridge subscriptions.

(f) Spark may be able to arrange training on how to use the IoT Bridge platform and provide assistance with configuring your fridge or freezer sensors. There will be additional charges for these services, which may vary based on location and complexity. Please discuss with your local Spark hub.

6.     Your Responsibilities

You agree that:

(a) You are responsible for assessing the suitability of the Fridge Monitoring Starter Kit Service;

(b) You are responsible for preventing unauthorised access to, or use of, the Service. On becoming aware of any unauthorised access, you agree to notify Spark as soon as is reasonably practicable;

(c) You are responsible for the installation and removal of the fridge or freezer sensors;

(d) You will provide reasonable assistance to Spark with during fault resolution and service requests relating to the Service; and

(e) You will nominate a named administrator to manage the monitoring service and its features.

7.     Device warranties 

To the extent we are able to, we will pass on the benefit of any manufacturer’s warranty in respect of the fridge and freezer sensors you purchase from us. If we are unable to do this, we will use our reasonable endeavours to hold such warranties for your benefit.
